Cline Partnership Promotional Offer - Terms & Conditions

This promotional offer ("Offer") provides eligible customers with a 25% discount on Gemini model usage and $20 USD in promotional credits when signing up for Hicap services. This Offer is provided by Hicap Inc. ("Hicap", "we", "us", or "our") and is subject to these Terms & Conditions.

To be eligible for this Offer, you must: • Be a new Hicap customer with no prior account • Sign up through the designated Cline partnership promotional link or page • Complete account registration and verification • Not have previously received any Hicap promotional offers • Be at least 18 years of age or the age of majority in your jurisdiction • Not be located in a country where Hicap services are prohibited Hicap reserves the right to verify eligibility and deny the Offer to any customer at our sole discretion.

The Offer includes: • 25% discount on Gemini 3 Pro and Gemini 3 Flash model usage • $20 USD in promotional credits applied to your Hicap account upon signup Discount applies only to eligible Gemini model API usage and does not apply to other models or services. Promotional credits can be used for any Hicap service.

• Offer is limited to ONE per customer/organization • Promotional credits expire 90 days after account creation • Discount period ends at the date specified in the promotion or when terminated by Hicap • Credits are non-transferable and have no cash value • Credits cannot be withdrawn, refunded, or exchanged for cash • This Offer cannot be combined with any other promotions, discounts, or offers • Offer is void where prohibited by law

This Offer is available WHILE SUPPLIES LAST and subject to capacity limitations. Hicap maintains reserved GPU capacity for promotional customers. If capacity limits are reached, Hicap reserves the right to: • Suspend new promotional sign-ups • Implement a waitlist system • Terminate the Offer entirely Hicap will make reasonable efforts to notify customers of capacity limitations but is not obligated to do so.

Hicap reserves the absolute right to: • Modify these terms and conditions at any time • Change the discount percentage, credit amount, or eligible models • Extend or shorten the promotional period • Suspend or terminate this Offer at any time • Make changes without prior notice to customers Any modifications will be posted on this page with an updated effective date. Continued use of promotional benefits after modifications constitutes acceptance of the new terms.

Hicap reserves the right to deny, revoke, or terminate promotional benefits in cases of: • Suspected fraud or abuse of the promotional offer • Multiple account creation by the same individual or organization • Use of automated systems to claim promotional benefits • Violation of Hicap Terms of Service • Reselling or commercial use of promotional credits • Any activity that Hicap deems, in its sole discretion, to be abusive or fraudulent Hicap may suspend accounts and deny service without refund in such cases.

Hicap reserves the right to: • Implement usage caps or rate limits on promotional accounts • Monitor usage patterns for abuse or unusual activity • Throttle or suspend service for excessive usage • Modify or revoke promotional benefits if usage exceeds reasonable expectations What constitutes "reasonable usage" is determined by Hicap in its sole discretion.

This Offer does not guarantee: • Availability of specific models or features • Specific performance levels or response times • Uninterrupted service • Any particular level of capacity or throughput All services are provided "as-is" subject to the Hicap Terms of Service.

Use of Hicap services, whether promotional or paid, is subject to: • Hicap Terms of Service • Hicap Privacy Policy • Hicap Acceptable Use Policy • All other applicable Hicap policies and agreements In case of conflict between these promotional terms and the standard Terms of Service, the standard Terms of Service prevail except where explicitly stated otherwise.

Any disputes arising from this promotional offer shall be resolved in accordance with the dispute resolution provisions in the Hicap Terms of Service. By accepting this Offer, you agree to binding arbitration for any disputes.

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.
